# Terms of Service

These Terms of Service (“Terms”) constitute a legally binding and enforceable agreement between the User (“User”) and the Permapod decentralized protocol (the “Protocol”) concerning the User’s access to and utilization of the Protocol, associated web interface, smart contracts, APIs, and all related services (collectively, the “Services”).

By accessing, utilizing, or interacting with the Services, the User explicitly represents, warrants, and covenants that they have read, understood, and unreservedly agreed to be bound by the entirety of these Terms.

Should the User dissent from these Terms in whole or in part, the User is strictly prohibited from accessing or utilizing the Services.

## 1. DEFINITIONS

“Protocol” refers to the autonomous, decentralized smart contracts deployed on public blockchain networks that facilitate and govern borrowing, lending, collateralization, liquidity provisioning, vault strategies, and other associated decentralized finance (“DeFi”) activities.

“Interface” refers to the Permapod web application, website, APIs, dashboards, and related user-facing software that serve as the technological means for the User to interact with the Protocol.

“Digital Assets” shall mean electronic files, records, or data stored digitally on a cryptographic ledger that possesses economic value or confers specific rights upon the holder. Such assets are created, traded, and stored in digital form on various digital platforms. Digital Assets shall include, but not be limited to: Cryptocurrencies (digital currencies secured by cryptography); Tokens (digital units issued on a blockchain representing assets, utility, or rights); Non-Fungible Tokens (unique digital items verified using blockchain technology); and Stablecoins (cryptocurrencies pegged to a stable reference asset, such as fiat currency).

“User” refers to any natural person or legal entity accessing, utilizing, or otherwise interacting with the Services.

## 2. NATURE AND SCOPE OF THE SERVICES

Permapod furnishes access to decentralized software infrastructure designed solely to enable the User to interact with blockchain-based smart contracts.

The User hereby acknowledges and explicitly confirms that Permapod:

* Does not operate as, and is not, a licensed bank, broker-dealer, investment adviser, financial institution, or custodian.
* Functions exclusively and autonomously via self-executing smart contracts, where all transactions are executed directly and immutably on public blockchain networks.
* Does not provide any fiduciary, custodial, or money transmission services.
* Does not at any time take possession, custody, or control of the User’s Digital Assets.
* Provides no guarantees, representations, or warranties regarding the attainment of specific returns, liquidity, or profitability through the use of the Services.

## 3. ELIGIBILITY AND REPRESENTATIONS

The User represents and warrants that, as of the date of their access to or use of the Services, all of the following statements are true and accurate:

* Legal Capacity: The User is at least eighteen (18) years of age or has attained the legal age of majority in their jurisdiction of residence and possesses the requisite legal capacity to enter into binding agreements.
* Compliance: The User’s access to and use of the Services does not violate any applicable local, national, or international laws, statutes, rules, or regulations to which the User is subject.
* Sanctions Compliance: The User is not located in, incorporated in, or ordinarily resident in any jurisdiction that is subject to comprehensive sanctions or trade restrictions.
* Restricted Parties: The User is not identified on any sanctions list, including those administered by the United Nations, the United States (such as the Specially Designated Nationals List), the European Union, the United Kingdom, or any other competent authority.

Permapod reserves the unreserved right to restrict, suspend, or terminate access to the Services for any jurisdiction or User category at its sole and absolute discretion, without liability.

## 4. NON-CUSTODIAL NATURE AND SELF-CUSTODY

The Protocol is fundamentally and unchangeably non-custodial. The User interacts solely and directly with blockchain-based smart contracts via self-custodial digital wallets.

The User shall bear sole and exclusive responsibility for all aspects pertaining to their digital custody, including, without limitation:

* The rigorous safeguarding and security of all wallet credentials, seed phrases, and private keys.
* The comprehensive review, verification, and explicit approval of all blockchain transactions prior to submission to the network.
* The proactive monitoring of collateral positions and the attendant liquidation risk.
* The maintenance of uninterrupted access to their digital wallets and associated devices.

The User further acknowledges and agrees that transactions executed on a blockchain network are cryptographically irreversible, and Permapod possesses no technical or administrative capacity to reverse or modify transactions, or to recover lost or compromised credentials, Digital Assets, or private keys.

## 5. RELIANCE ON THIRD-PARTY INFRASTRUCTURE

The operation and provision of the Services are reliant upon and integrated with various third-party infrastructure and service providers, including, but not limited to:

* Wallet and authentication providers (including [Para](https://www.getpara.com/?utm_source=chatgpt.com));
* Underlying blockchain networks and layer-2 solutions;
* Inter-chain bridges and oracle networks;
* RPC infrastructure providers and data analytics services; and
* External liquidity providers and integrated lending protocols.

The User understands that their utilization of these third-party services may necessitate the direct transmission of certain information to the respective providers.

Permapod shall not be liable for, and exercises no control over:

* The data collection, storage, security, or privacy practices of any third-party provider.
* The operational performance, failures, outages, exploits, or regulatory compliance of third-party providers.

The User’s engagement with and reliance upon any third-party service is undertaken entirely at the User’s own risk. The User is obligated to independently review and accept the applicable terms of service and privacy policies of all third-party providers.

## 6. RISKS AND ACKNOWLEDGMENT OF LOSS

The utilization of decentralized finance protocols and the Services entails substantial, inherent, and unavoidable risks. The User expressly acknowledges, understands, and accepts that participation in the Protocol exposes them to the possibility of total or partial financial loss. These risks include, without limitation:

* Technical Risk: Smart contract vulnerabilities, exploits, or defects in the underlying code; oracle failures; bridge exploits; and cybersecurity incidents affecting the Protocol or integrated third-party systems.
* Market Risk: Extreme market volatility, adverse interest rate fluctuations, stablecoin de-pegging, and illiquidity leading to inability to exit or execute transactions at desired prices.
* Protocol Risk: Collateral liquidation due to adverse market shifts or insufficient maintenance of collateralization ratios; protocol governance attacks; and network congestion or blockchain forks.

The User expressly acknowledges that they may lose some or all of their Digital Assets. No specific returns, yields, or borrowing conditions are warranted or guaranteed by Permapod. Any indication of past performance is strictly not indicative of future results.

## 7. NON-ADVISORY NATURE OF THE SERVICES

Users acknowledge and agree that Permapod does not provide, and the Services do not constitute, professional advice or a solicitation of any kind. Specifically, nothing provided through the Services shall be construed as:

* Investment, financial, legal, or tax advice;
* An offer, solicitation, or recommendation to buy, sell, hold, borrow, or lend any Digital Asset; or
* The provision of portfolio management or fiduciary services.

Users are expressly and solely responsible for conducting their own independent evaluation of the risks, suitability, and legal compliance (including tax obligations) of all transactions an

8\. USER RESPONSIBILITIES

The User expressly acknowledges and accepts that they shall bear sole responsibility for all actions and consequences arising from their use of the Services and interaction with the Protocol. This responsibility includes, without limitation, the obligation to:

* Due Diligence: Conduct comprehensive independent research and due diligence concerning all Digital Assets, transactions, and the inherent risks associated with decentralized finance (DeFi) protocols.
* Compliance and Tax: Ensure strict compliance with all applicable local, national, and international laws, rules, and regulations, and bear the sole obligation for the timely calculation and satisfaction of all associated tax liabilities in every relevant jurisdiction.
* Transaction Management: Monitor and maintain sufficient collateral positions, ensure appropriate collateralization ratios to mitigate liquidation risk, and meticulously verify the accuracy of all transaction details prior to submission to the blockchain network.
* Risk Acceptance: Fully understand and accept all risks associated with the Services, including market, smart contract, and liquidation risks.

## 9. PROHIBITED CONDUCT

The User covenants and agrees that they shall not engage in any of the following prohibited forms of conduct:

* Illegal Activity: Violation of any applicable local, national, or international law, statute, ordinance, or regulation, including, but not limited to, money laundering, fraud, sanctions evasion, or the financing of terrorism.
* Protocol Interference: Exploitation of vulnerabilities, interference with the proper operation or security of the Services or Protocol, uploading of malicious software or code, or attempts to manipulate protocol mechanics or markets.
* Unauthorized Access: Attempting any unauthorized access to Permapod’s infrastructure, systems, or non-public areas of the Services.

Permapod reserves the right, in its sole and absolute discretion, to restrict, suspend, or terminate access to the Services without liability to the User where such action is deemed necessary for legal, security, or operational reasons.

## 10. INTELLECTUAL PROPERTY

All intellectual property rights, including, but not limited to, all trademarks, branding, logos, interface designs, documentation, underlying software, and related content associated with Permapod (the “Permapod IP”), are the sole property of \[ENTITY NAME] or its licensors.

The User is granted a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Interface solely for the purpose of interacting with the Protocol in accordance with these Terms.

The User shall not reproduce, distribute, modify, create derivative works of, or commercially exploit any Permapod IP without the prior express written consent of \[ENTITY NAME].

## 11. DISCLAIMERS OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN STRICTLY “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY.

To the maximum extent permitted by applicable law, Permapod disclaims all representations and warranties, including, but not limited to, warranties of:

* Merchantability and fitness for a particular purpose;
* Non-infringement of third-party rights;
* Uninterrupted, timely, accurate, or secure availability or access;
* Freedom from errors, viruses, or other harmful components; and
* Any implied warranties arising from course of performance, course of dealing, or usage of trade.

Permapod makes no explicit or implied representations regarding the profitability, liquidity, execution outcomes, or the regulatory treatment of the Protocol or Digital Assets in any jurisdiction.

## 12. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERMAPOD AND ITS AFFILIATES, CONTRIBUTORS, OPERATORS, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AND REPRESENTATIVES BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES WHATSOEVER.

This exclusion of liability applies to damages arising from:

* Loss of Digital Assets, profits, revenue, or data;
* Liquidation events, business interruption, or loss of goodwill;
* Smart contract exploits, technical failures, or cybersecurity incidents;
* Unauthorized access to User wallets or accounts; or
* Failures or non-performance of third-party service providers.

The User expressly agrees that the entire risk arising out of the use of the Services remains solely with the User.

## 13. INDEMNIFICATION AND RELEASE

The User shall defend, indemnify, and hold harmless Permapod and its affiliates, employees, agents, officers, and directors from and against any and all claims, liabilities, damages, losses, and expenses (including, without limitation, reasonable legal fees) arising out of or in any way connected with:

* The User’s access to or use of the Services;
* The User’s violation of any term of these Terms; or
* The User’s violation of any applicable law or the rights of any third party.

## 14. TERM AND TERMINATION

These Terms shall commence upon the User’s first access to or use of the Services and shall continue until terminated as set forth herein.

Permapod may terminate or suspend the User’s access to the Services, in whole or in part, at any time, immediately and without prior notice or liability, for any reason, including without limitation if the User breaches these Terms or if Permapod ceases to operate the Services.

Sections 1, 2, 4, 6, 7, 8, 10, 11, 12, 13, 15, 16, and 17 shall survive any termination of these Terms.

## 15. AMENDMENTS AND WAIVERS

Permapod reserves the right, at its sole discretion, to modify or replace these Terms at any time.

Any modifications shall become effective immediately upon the publication of the revised Terms on the Interface. Continued access to or use of the Services subsequent to the effective date of the revised Terms constitutes the User’s acceptance of such revised Terms.

The failure of Permapod to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

## 16. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms shall be governed by and construed in accordance with the laws of:

## 17. SEVERABILITY
